1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CyberVayu website (cybervayu.com) and any services, proposals, or engagements provided by CyberVayu ("we", "us", "our"). By browsing this website, submitting an enquiry, or engaging us for a project, you ("you", "client") agree to be bound by these Terms. If you do not agree, please discontinue use of the website and do not proceed with any engagement.

2. Services

CyberVayu provides custom software development, website design and development, e-commerce development, UI/UX design, and mobile app development services. The specific scope, deliverables, timeline, and cost of any engagement will be set out separately in a written proposal, quotation, or agreement signed or confirmed by both parties before work begins. These Terms apply alongside, and do not replace, any such project-specific agreement.

3. Enquiries and Communication

Submitting the contact form, WhatsApp message, or email enquiry does not create a binding contract between you and CyberVayu. A project engagement begins only once both parties have agreed on scope and cost in writing. We aim to respond to enquiries within one business day but do not guarantee a specific response time.

4. Payments

Unless otherwise agreed in writing, projects are billed according to the payment schedule set out in the relevant proposal or invoice (typically a portion upfront with the balance due on milestones or completion). Late payments may result in a pause of ongoing work until outstanding amounts are settled. All fees are exclusive of applicable taxes unless stated otherwise.

5. Intellectual Property

Unless otherwise agreed in writing, ownership of final deliverables (source code, designs, and assets created specifically for your project) transfers to you upon full payment. CyberVayu retains the right to reuse general methodologies, frameworks, and non-client-specific components developed during the course of an engagement, and may showcase completed work in its portfolio unless you request otherwise in writing.

6. Client Responsibilities

You agree to provide timely feedback, content, credentials, and approvals reasonably required for us to complete a project. Delays in providing this information may extend project timelines accordingly and are not attributable to CyberVayu.

7. Warranties and Limitation of Liability

We take reasonable care to deliver functional, well-tested work, and will fix defects reported within a reasonable warranty period following delivery, as specified in the project agreement. Beyond this, services are provided on an "as is" basis. To the maximum extent permitted by law, CyberVayu is not liable for indirect, incidental, or consequential damages arising from use of our website or services, including loss of revenue, data, or business opportunity.

8. Third-Party Services

Projects may rely on third-party platforms, plugins, hosting providers, APIs, or libraries. We are not responsible for outages, pricing changes, or policy changes made by such third parties, though we will make reasonable efforts to advise you of any impact on your project.

9. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of an engagement, and to use it solely for the purpose of delivering or receiving the agreed services.

10. Termination

Either party may terminate an ongoing engagement with written notice as specified in the project agreement. You remain responsible for payment of all work completed up to the effective date of termination.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of India, and any disputes arising out of or relating to these Terms or our services will be subject to the exclusive jurisdiction of the courts of Dehradun, Uttarakhand.
